1. This agreement

These Terms are a binding agreement between you and Pursuit Labs, LLC, a Florida limited liability company ("Pursuit Labs", "we", "us"), covering your use of the MetaMule desktop application, our websites, and any related services (together, the "Service").

By installing or using MetaMule, or by creating an account, you accept these Terms and confirm that you are at least 18 years old and legally able to enter this agreement. If you are accepting on behalf of a company, you confirm you are authorised to bind it. If you do not accept these Terms, do not use the Service.

2. Licence to use MetaMule

While your subscription is active, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use MetaMule on computers you own or control, for your own commercial or personal media work.

MetaMule is licensed, not sold. We retain all rights in the software, its keyword vocabularies, validation rules, and everything else we have built. You may not: copy or redistribute the software; sell, rent, sublicense or share access to your account; reverse engineer, decompile or attempt to extract our source code, prompts, or vocabulary data except where that restriction is prohibited by law; remove or obscure any notices; or use the Service to build a competing product.

3. Subscriptions, assets and billing

Plans and the asset allowance

Paid plans include a monthly allowance of assets. One asset is one video clip or one photo for which the Service generates metadata. Validating files against marketplace specifications does not consume your allowance, and regenerating metadata for an asset you have already generated in the same billing period does not consume it again (subject to fair-use limits: a cap on repeated regeneration of the same file, and an overall ceiling on total generations in a billing period, set well above normal use).

Allowances reset at the start of each billing period and do not roll over. If you need more within a period, you may purchase additional asset packs; these apply to the current period only.

Payment and renewal

Subscriptions renew automatically — monthly or annually, as chosen — until cancelled. You authorise us and our payment processor to charge your payment method on each renewal at the then-current price. Payments are processed by Stripe; we never receive or store your full card details.

Cancellation and refunds

You may cancel at any time, effective at the end of your current billing period. You keep access until then. Except where required by law, fees already paid are non-refundable, including for partially used periods and unused allowance. If we materially reduce the Service during a period you have paid for, contact us and we will make it right.

Free trial

New accounts include a limited number of free assets, without payment details. We may change or withdraw the trial at any time.

Price changes

We may change prices with at least 30 days' notice by email before your next renewal. Continuing after that date means you accept the new price; if you'd rather not, cancel before it takes effect.

4. Your media stays yours

You own your media, and you own the metadata MetaMule produces for it. We claim no rights in your footage, photographs, titles, descriptions, or keywords, and we do not use your media to train AI models.

Your files stay on your computer. Analysis runs locally. To generate metadata, MetaMule sends small extracted frames of a clip or photo to our AI provider through our servers; those frames are passed through and are not stored by us. What we retain is described in our Privacy Policy: your account details, billing status, and counts of usage.

You are responsible for having the rights to any media you process, and for keeping your own backups. MetaMule writes metadata files alongside your media; it is not a backup service.

5. AI-generated metadata — what we do and don't promise

Metadata produced by MetaMule is a suggestion, not a finished product. AI can misidentify a subject, miss context, or produce a keyword that a marketplace does not accept. You are responsible for reviewing metadata before you upload it anywhere.

Specifically, we do not warrant that generated titles, descriptions, keywords, or categories will be accurate, complete, or suitable for any purpose; that keywords will match any marketplace's controlled vocabulary, which those marketplaces change without notice; or that any asset you submit will be accepted, published, or earn money. Marketplace acceptance is entirely the decision of the marketplace.

MetaMule also checks files against published technical requirements for supported marketplaces. Those requirements change, and we may not always reflect the latest version. A passing check is not a guarantee of acceptance.

6. Model releases and marketplace compliance

MetaMule's release flagging is an aid to your judgement, not legal advice, and not a compliance guarantee. Whether you need a signed model or property release — and whether an asset may be licensed commercially or only editorially — is your responsibility and depends on law and on each marketplace's rules.

The Service may indicate that an asset appears to show a recognisable person. It may flag assets that do not require a release, and it may fail to flag assets that do. You must make your own determination before uploading, and you are solely responsible for obtaining and retaining any releases, permits, or permissions required, including for private property, trademarks, artwork, drones, and restricted locations.

Any release forms we make available are provided for convenience only, unmodified from their source, and we make no representation that any form is current, valid, or sufficient for your circumstances.

7. Acceptable use

You agree not to use the Service to process media that is unlawful, or that infringes anyone's intellectual property, privacy, or publicity rights; to attempt to circumvent your asset allowance, quota enforcement, or authentication; to access the Service by any means other than the official application, including automated scripting of our API; to probe, overload, or disrupt our infrastructure; or to resell, proxy, or otherwise make our AI processing available to third parties.

8. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted operation. Generation depends on third-party AI infrastructure that may be slow, rate-limited, or unavailable. We may modify, add, or remove features, and may suspend the Service for maintenance. If we discontinue the Service entirely, we will give reasonable notice and will not charge you for periods after it ends.

We may update these Terms. For material changes we will give notice in the application or by email before they take effect, and your continued use afterwards constitutes acceptance. The version and date at the top of this page always identify the current terms.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURSUIT LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST SALES, LOST OR CORRUPTED DATA, REJECTED OR REMOVED SUBMISSIONS, OR SUSPENSION OF ANY MARKETPLACE ACCOUNT, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.

These limits apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnity

You agree to indemnify and hold harmless Pursuit Labs and its members and personnel from any claim, demand, loss, or expense (including reasonable legal fees) arising from your media, your use of the Service, your submissions to any marketplace, your failure to obtain a required release or permission, or your breach of these Terms.

12. Term and termination

These Terms apply for as long as you use the Service. You may stop at any time by cancelling and uninstalling. We may suspend or terminate your access if you materially breach these Terms, if payment fails, or if required by law — with notice where practicable, and immediately where a breach risks harm to us or others.

On termination your licence ends and you must stop using the software. Metadata and CSV files already written to your computer remain yours and continue to work. Sections that by their nature should survive — ownership, disclaimers, liability limits, indemnity, and governing law — survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. You and Pursuit Labs agree to the exclusive jurisdiction of the state and federal courts located in Brevard County, Florida, and each waives any objection to that venue.

Before filing anything, please contact us — nearly everything can be resolved by email. Either party may seek injunctive relief for misuse of intellectual property without first doing so.

14. General

Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service, and replace any earlier understandings.

Severability. If any provision is unenforceable, the rest remains in force.

No waiver. Not enforcing a provision is not a waiver of it.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
